Terms of Service
Effective Date: June 2, 2026
These Terms of Service (“Terms”) govern your access to and use of the UpgrAIed learning platform (“Platform”) operated by D'Kalash (OPC) Private Limited, operating as UpgrAIed™ (“UpgrAIed™,” “we,” “us,” or “our”). By accessing or using the Platform, you agree to be bound by these Terms.
1. Eligibility and Account Creation
1.1 Age Requirements
UpgrAIed™ is designed for students in Grades 6–12 (typically ages 11–18). We may accept younger students on a case-by-case basis with explicit parental consent.
1.2 Parental Consent
All users under 18 years of age require parent or legal guardian consent before enrollment. Accounts must be created using a parent/guardian email address. The parent/guardian is the legal account holder; the student is the platform user.
1.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately of any unauthorized access at hello@upgraied.com.
2. Platform Access and Pricing
2.1 Freemium Model
Modules 1.1 to 1.3 are available free of charge. Access to the full, growing curriculum requires a one-time payment of ₹6,999.
2.2 Payment Terms
- All payments are processed securely through Razorpay.
- Payment is required before accessing modules beyond M1.3.
- Prices are listed in Indian Rupees (INR) and include applicable GST at 18%.
- One-time payment model: no subscriptions, no recurring charges, no renewals.
2.3 Refund Policy
Refund policy: Since Modules 1.1 to 1.3 are free to access, students can try the platform risk-free.
Exception: Full refunds may be issued at our sole discretion in cases of technical issues preventing platform access that cannot be resolved within 7 days.
3. Curriculum and Content
3.1 Course Structure
The UpgrAIed™ curriculum consists of a growing set of levels and modules. Each level includes at least one MUST DO module that requires manual approval before progressing to the next level. All other modules are required to complete a level, but do not require manual approval to unlock the next module.
3.2 Content Updates
Your one-time payment covers access to all current curriculum content plus all future updates and additions. We reserve the right to modify, update, or discontinue modules as needed to maintain curriculum quality.
3.3 No Completion Guarantee
UpgrAIed™ provides educational content and tools. We do not guarantee specific learning outcomes, skill mastery, or completion timelines.
4. Acceptable Use
4.1 Permitted Use
You may use the Platform for personal, non-commercial educational purposes only. Students may create and share projects built using Platform lessons.
4.2 Prohibited Activities
You may not:
- Share account credentials with others
- Copy, redistribute, or resell Platform content
- Use automated tools to scrape or download content
- Submit false, misleading, or plagiarized work
- Reverse-engineer or attempt to access Platform source code
- Use the Platform for any unlawful purpose
4.3 Submission Guidelines
Students must submit original work. Submissions containing inappropriate content, hate speech, or violations of third-party rights may result in account suspension or termination.
5. Intellectual Property
5.1 Platform Ownership
All Platform content (videos, curriculum, text, graphics, logos) is owned by UpgrAIed™ or licensed content providers. The UpgrAIed™ name and logo are trademarks of D'Kalash (OPC) Private Limited.
5.2 Student Work
Students retain ownership of original work created using Platform tools. By submitting work to the Platform, you grant UpgrAIed™ a non-exclusive license to display submissions for administrative and educational purposes.
6. Privacy and Data Protection
Your use of the Platform is also governed by our Privacy Policy. We collect and process student data in accordance with Indian data protection laws.
7. Platform Availability
We strive for 99% uptime but do not guarantee uninterrupted access. The Platform may be temporarily unavailable for maintenance, updates, or technical issues. We are not liable for losses resulting from downtime.
8. Account Termination
8.1 Termination by User
You may request account deletion at any time by contacting hello@upgraied.com. Paid enrollments are non-refundable regardless of account closure timing.
8.2 Termination by UpgrAIed™
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or misuse the Platform. Termination does not entitle users to refunds.
9. Limitation of Liability
To the maximum extent permitted by Indian law:
- UpgrAIed™ provides the Platform “as is” without warranties of any kind.
- We are not liable for indirect, incidental, or consequential damages.
- Our total liability shall not exceed the amount paid by you for Platform access (₹6,999).
- We are not responsible for third-party content, tools, or websites linked from the Platform.
10. Indemnification
You agree to indemnify and hold harmless UpgrAIed™, its officers, and employees from any claims, damages, or expenses arising from your use of the Platform or violation of these Terms.
11. Dispute Resolution
11.1 Governing Law
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Bangalore, Karnataka.
11.2 Informal Resolution
Before filing any legal claim, you agree to contact us at hello@upgraied.com to seek informal resolution.
12. Changes to Terms
We may update these Terms periodically. Changes will be posted on this page with an updated effective date. Continued use of the Platform after changes constitutes acceptance of modified Terms.
13. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full effect.
